Terms of Service
The agreement between you and Webway — what the gateway does, what you owe for it, and what happens when either side stops.

These terms are a contract between you and Willow Global LLC, at 1309 Coffeen Avenue, Ste 1200, Sheridan, WY 82801, United States — "Webway", "we", "us". They cover the Webway website, the dashboard, and the API at the gateway endpoint. Using any of the three means accepting them.
Read them with the Acceptable use policy, the Refunds, cancellation and disputes policy, the Legal and export restrictions, the Promotion terms and the Privacy policy. Each is part of this agreement.
What Webway is
Webway is a hosted API gateway. You send an OpenAI-compatible request to one endpoint, we route it to whichever provider serves the model you asked for, we meter the tokens, and we draw the cost down from your balance.
Two things follow from that, and both matter:
- We are not the model. The models are operated by third parties — the provider is named on every model's page and on every request you make. Their terms apply to your use of their model alongside these, and a model can be withdrawn, re-priced or changed by its provider with no notice to us.
- We are a conduit for your content. What you send and what comes back is yours, not ours. We do not claim ownership of either, and we do not train models on them.
Accounts
You must be 18 or older, and legally able to enter a contract, to hold an account. An account belongs to one person; a workspace can have many members, and whoever holds the owner role is responsible for what the workspace does.
You are responsible for the accuracy of what you tell us — an email address that reaches you especially, because it is where a suspension notice or a failed payment goes.
API keys
A key is a bearer credential: anything holding it can spend your balance. We store only a hash of each key and its first few characters, so a lost key cannot be recovered, only revoked and replaced.
Traffic authenticated by your key is your traffic, and the spend it causes is yours, whether or not you meant to send it. Revoke a key the moment you think it has leaked — the dashboard does it immediately, and there is no charge for issuing another.
Credit and payment
Credit is prepaid. There is no subscription, no monthly invoice and no committed spend: you buy a balance, and each request draws down what it cost.
- Denomination. Balances are held in US dollars and metered in micro-dollars — millionths of a dollar. The dashboard can present a balance in another currency for convenience; the balance itself is the dollar figure.
- Card payments are handled by Stripe. We never see or store your full card number. Choosing to save a card stores it with Stripe, against a customer record identified to us only by an id.
- Stablecoin payments settle in USDC through our payments partner. Credit lands once the payment confirms on-chain. A payment sent to an address we did not give you, or on a chain we do not support, is not recoverable by us.
- Auto-reload, if you turn it on, authorises us to charge your saved card the amount you set whenever your balance falls below the threshold you set. You can switch it off at any time from Billing, and switching it off takes effect immediately.
- Taxes. Prices are exclusive of VAT, GST and sales tax unless stated. Where we are required to collect tax, it is added at checkout.
Prices
Per-token prices are on each model's page and are the prices that apply. They can change — usually because the upstream provider changed theirs. A price change never applies retroactively: a request is billed at the price in force when it was served, and the ledger records what it cost.
The ledger
Your balance is the running total of an append-only ledger, visible on Billing. If you think an entry is wrong, tell us within 60 days of it appearing and we will look into it; see Refunds.
Acceptable use
Your use of the gateway is subject to the Acceptable use policy and to the legal and export restrictions. The provider behind each model has its own usage policy, and it applies too — routing a request through us does not exempt it.
Availability
We try hard to keep the gateway up, and we publish provider health where we measure it. We do not promise a level of uptime, latency or throughput unless we have agreed one with you in writing. Requests can fail because a provider is down, rate-limiting us, or has withdrawn a model; where a request fails before it is served, it is not charged.
We may change, add or remove models, features and endpoints. Where a change would break working integrations, we will give what notice we reasonably can.
Suspension and termination
You can stop at any time: revoke your keys, or close the account. See Cancellation.
We may suspend or close an account that breaches these terms or the acceptable use policy, that we are required to act against by law or by a provider, that is running up chargebacks, or that presents a fraud or security risk. Where the circumstances allow it, we will tell you first and give you a chance to fix it. Where they do not — active abuse, a legal demand, a compromised key spending someone else's money — we will act first and explain afterwards.
On closure, unused credit is handled as set out in Refunds. Credit is not forfeited because an account was closed, except where the closure was for fraud or for a breach that caused us or a third party a loss.
Content and intellectual property
You keep every right in what you send and what you receive. You grant us only the licence we need to run the service: to transmit your request to the provider you selected, to return the response, and to store what the Privacy policy says we store, for as long as it says.
We keep every right in the gateway, the dashboard, the docs and the Webway name. Nothing here licenses you to resell the gateway as your own, to reverse-engineer it, or to use our marks without permission.
Model output is generated. It can be wrong, and the same prompt can produce different output twice. Nothing that comes out of a model through us is advice — legal, medical, financial or otherwise — and you are responsible for checking output before you act on it or pass it on.
Warranties and liability
The service is provided as is. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent the law allows:
- Neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data.
- Our total liability arising out of or relating to this agreement is capped at the greater of the amount you paid us in the three months before the claim arose, or US$100.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited by law. If you are a consumer, your statutory rights are unaffected.
Indemnity
You will indemnify us against claims, damages and reasonable costs arising from your use of the service in breach of these terms or of the acceptable use policy, or from content you sent through it.
Changes to these terms
We may update these terms. The date at the top of the page changes when we do, and material changes are announced by email to account holders at least 14 days before they take effect. Continuing to use the service after that is acceptance; if you would rather not, close the account and ask for your unused credit back.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, and the courts of the State of Wyoming have exclusive jurisdiction — except that a consumer may bring proceedings in the courts of their own country of residence where the law gives them that right.
Before starting proceedings, please write to us. Most disputes are a billing question with an answer, and we would rather give it.
